Please read them carefully before using the website and information provided by Aegisys, its subsidiaries and affiliates (collectively, “Aegisys”).

These Terms apply to the Aegisys websites at https://aegisys.com and all Aegisys-owned and operated websites linked thereto, including secure areas. They also apply to any online resources, tools, and materials available on those websites. Aegisys may publish supplemental terms for specific sections, which will apply to the extent they do not conflict with these Terms.

2. Ownership of Content

The Aegisys websites and all content on them — including text, graphics, images, audio, video, designs, source and object code, compilation, advertising copy, user interfaces, and artwork (“Content”) — are owned, controlled, or licensed by Aegisys and are protected by Canadian and international copyright, trademark, and intellectual property laws. All rights not expressly granted are reserved.

Content may not be copied, reproduced, modified, adapted, translated, published, posted, resold, or otherwise distributed without Aegisys's prior written authorization. You are permitted to display on your screen, print, and download Content solely for your own personal, non-commercial use, provided you retain all copyright and proprietary notices.

The websites may contain third-party submitted content. Aegisys does not claim ownership of third-party content and bears no obligation or liability with respect to it. Aegisys reserves the right to monitor, restrict access to, edit, or remove any such content.

3. Trademarks

The trademarks, service marks, logos, slogans, and domain names displayed on the Aegisys websites are either common-law or registered marks of Aegisys Canada, Inc. or its subsidiaries, and are protected under Canadian trademark law and international treaties. References to third-party names and products do not imply sponsorship, endorsement, or association with Aegisys.

You may not use any Aegisys marks in page text, meta tags, or hidden text without prior written permission. No provision of these Terms grants any license or right to use Aegisys marks.

4. Privacy

Our Privacy Policy governs the collection and use of personal information you provide to us and is incorporated into these Terms by reference.

5. Password-Protected Areas

Certain areas of the Aegisys websites are accessible only to authorized users. By registering for access, you agree to: (i) provide accurate and current information; (ii) maintain and update that information; (iii) keep your password and account credentials secure; and (iv) notify Aegisys immediately at legal@aegisys.com of any unauthorized access or breach of security.

You are solely responsible for activity that occurs under your account. Aegisys will not be liable for losses arising from unauthorized use of your credentials.

6. Content You Submit

Any content you submit through Aegisys websites (excluding resumes submitted for employment consideration) is deemed non-confidential and non-proprietary. By submitting content, you grant Aegisys an irrevocable, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and distribute that content for any purpose, without compensation to you.

You represent that you own or have the right to submit such content and to grant the rights described above. Aegisys may remove any submitted content at any time at its sole discretion.

7. Prohibited Use

You agree not to upload or transmit any content that:

Is misleading, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable;
Constitutes unauthorized disclosure of personal or confidential information;
Infringes any patent, trademark, trade secret, copyright, or other intellectual property right;
Contains viruses, malware, spyware, or code designed to impede or damage computer functionality.

You also agree not to:

Impersonate an Aegisys employee or representative, or misrepresent your identity;
Send bulk mail, spam, or other unauthorized communications;
Attempt to gain unauthorized access to any part of the Aegisys websites or connected systems;
Interfere with the proper functioning of the websites or restrict other users' access;
Violate any applicable local, provincial, or federal law or regulation.

8. Services

Specific terms and conditions govern your purchase of Aegisys services and take precedence over these Terms with respect to those services. Website descriptions of services may not be current; Aegisys makes no commitment to update such material. Service availability varies by region.

9. Linking to Aegisys Websites

You may link to the Aegisys homepage using a plain text link. Deep linking to other pages or content requires Aegisys's prior written permission. Any permitted link must not: frame or alter the visual presentation of Aegisys content; misrepresent your relationship with Aegisys; imply endorsement or approval; use Aegisys trademarks without permission; or damage the goodwill associated with the Aegisys brand.

Aegisys may revoke linking permission at any time, at its sole discretion. Upon revocation, you agree to remove all links immediately.

10. Links to Third-Party Websites

Third-party links on the Aegisys websites are provided for convenience only. Aegisys does not control, endorse, or accept responsibility for the content or practices of linked sites. You access them at your own risk.

11. Disclaimer of Warranties

THE AEGISYS WEBSITES AND CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE. AEGISYS DOES NOT WARRANT THAT THE WEBSITES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE WEBSITES AND RELIANCE ON THE CONTENT.

12. Limitation of Liability

TO THE FULL EXTENT PERMITTED BY LAW, AEGISYS AND ITS LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE AEGISYS WEBSITES OR RELIANCE ON THE CONTENT, INCLUDING WITHOUT LIMITATION LOSS OF BUSINESS, REVENUE, GOODWILL, OR DATA, EVEN IF AEGISYS HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions prohibit the exclusion or limitation of liability for certain damages; portions of the above may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Aegisys Canada, Inc., its subsidiaries, affiliates, officers, directors, agents, and employees from any claims, demands, and expenses (including reasonable legal fees) arising from: (i) your use of the Aegisys websites; (ii) content you submit; or (iii) your violation of these Terms. This obligation survives termination of your access.

14. Governing Law

These Terms are governed by the laws of the Province of Ontario and applicable federal laws of Canada, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the courts located in Sudbury, Ontario for any dispute arising under these Terms.

15. General

These Terms constitute the entire agreement between you and Aegisys relating to your use of the Aegisys websites. If any provision is found unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in full force. Aegisys's failure to enforce any provision is not a waiver of that right.
